Viasat Buys Inmarsat for $7.3 Billion

Marlink's €622m Dividend Recapitalization Loan Pulled

A €622m-equivalent dividend recapitalization and refinancing loan for Norwegian satellite navigation group Marlink has been withdrawn from the market, sources familiar with the situation said.The leveraged loan for Marlink, which is owed by private equity firm Apax Partners, has run into the turbulence that has hit the European market in the last month, as investors call for better terms and conditions.A combination of increased dealflow and poor secondary trading levels on loans signed earlier this year is helping investors to push for higher pricing and stronger documentation."Several deals have struggled recently. Marlink Buys Majority Stake in OmniAccess

Apax Partners backed Marlink said it has signed a definite agreement to acquire a majority stake in fellow maritime VSAT services firm OmniAccess. The transaction remains subject to customary regulatory approval and closing is expected in the first half of 2018. OmniAccess’ existing management team will remain unchanged and continue to keep a significant shareholding in the company. OmniAccess will remain a stand-alone company, functioning as the competence center for broadband connectivity solutions for the high-end superyacht and boutique cruise-line customers.

Apax Partners Completes Marlink Acquisition

Funds managed by the private equity firm Apax Partners completed the acquisition of Marlink, Airbus Group’s Commercial Satellite Communication business.   Marlink’s maritime and land commercial satcom business is present in 14 countries across Europe, Asia, Middle‐East and Americas, and has a distribution network of approximately 400 resellers worldwide. The company serves all maritime sectors, as well as users in the mining, energy and humanitarian sector.    The government satcom business is not part of this transaction and remains part of Airbus Defence & Space’ core activities.

Airbus Group Sheds its Commercial Satellite Communication Business

[Press Release] Airbus Group SE (AIR) signed with French private equity firm, Apax Partners, a share purchase agreement (SPA) for the sale of 100% of the share capital of the legal entities comprising the commercial satellite communication business. The final closing of the transaction – subject to regulatory approvals – is expected to take place in the next months. Airbus Defence and Space announced in September of 2014 that a detailed and comprehensive portfolio assessment had defined Military Aircraft, Space, Missiles and related Systems and Services as its future core businesses.

Telenor to be Acquired by Apax

Telenor entered into a definitive agreement with Apax Partners France for the sale of Telenor Satellite Services (TSS) to funds managed by Apax Partners for a cash consideration of $400m. Since 2002 Telenor has defined Telenor Satellite Services as non-core business. Apax Partners intends to pursue the development of the company in Norway and abroad. Telenor Satellite Services offers communication solutions via satellite to land, air and sea. The transaction will not impact the services provided by TSS and business relations with customers will remain unchanged. The transaction is subject to approval from regulatory authorities. Given the current exchange rate for USD, Telenor ASA will be able to post a gain of approximately NOK 1.4 billion from the sale.

On October 25, 2006, Telenor entered into a definitive agreement with Apax Partners France for the sale of Telenor Satellite Services (TSS) to funds managed by Apax Partners for $400 million. Since 2002, Telenor has defined Telenor Satellite Services as non-core business. Apax Partners intends to pursue the development of the company in Norway and abroad. Telenor Satellite Services offers communication solutions via satellite to land, air and sea. The transaction will not impact the services provided by TSS and business relations with customers will remain unchanged. "Apax Partners is a very capable owner, and the sale of Telenor Satellite Services is made in accordance with Telenor's strategy to divest business operations that fall outside the scope of our core activities.

Apax Partners to Acquire FTMSC

France Telecom has signed an agreement with Apax Partners to sell 100 percent of the shares of France Telecom Mobile Satellite Communications SA (FTMSC). The completion of the transaction is expected in the near future. FTMSC is one of the world’s largest mobile satellite communications providers, marketing and distributing communications solutions for customers based in areas with limited access to terrestrial telecoms infrastructure. Apax Partners is one of the world’s leading private equity investment groups. Its funds invest in specific industries including telecoms, and provide long-term equity financing to build and strengthen world-class companies. This deal will enable FTMSC to consolidate its position on the international mobile satellite communications market.
