Logistics Mergers Up, Says KPMG

Auditor KPMG says that the mergers and acquisitions (M&A) in the Transport sector will supersede the levels seen in 2015 this year. XPO Acquires Port Trucker Bridge Terminal

XPO Logistics has made a deal to acquire Bridge Terminal Transport (BTT) Services, one of the largest motor carriers serving ports and intermodal facilities in the United States, for $100 million. A few days ago, XPO spent $3.5 billion to purchase French third-party logistics provider Norbert Dentressangle. Based in Charlotte, N.C., BTT is a drayage provider, which transports goods over a short distance, offering international and domestic transportation services at major port locations and inland rail sites throughout the U.S. BTT has 28 terminals and some 1,300 independent owner-operators. BTT had revenue of $232 million for the 12 months ended March 31. The XPO statement said the acquisition price represents a multiple of 8.1 times BTT’s tax-free cash flow over the same time.

XPO to Acquire Norbert Dentressangle

American corporation XPO Logistics, led by multi-millionaire Bradley Jacobs, agreed to acquire French transport services and global logistics solutions provider Norbert Dentressangle, led by multi-millionaire Norbert Dentressangle, for US$3.53 billion including debt, according to Bloomberg. Dentressangle will sell the 67 percent of his family’s ownership in the company for €217.50 (US$240.58) per share. XPO will then start a tender offer for the remaining stake at the same price. A binding agreement has been received from  Norbert Dentressangle and his family for their entire 67% stake in the company and XPO will launch an all-cash tender offer for the remaining shares on antitrust clearances in the US and Germany.

Belgium's Mega Wind Farm Starts to Take Shape

Belgium, in the Antwerp port area on the left bank of the Scheldt. In the first phase 15 wind turbines will be erected, enough to supply 35,000 Flemish households with green electricity. Dentressangle Acquire U.S. 3PL Provider Jacobson

France's Norbert Dentressangle says it has completed the previously announced acquisition of all the shares of privately held U.S. third party logistics (3PL) provider, Jacobson Companies from Oak Hill Capital Partners. The transaction was valued at $750 million (€560 million) in cash on a debt-free and cash-free basis, plus a capped earn-out relating to future performance. The acquisition is being financed through a combination of Norbert Dentressangle reserves and available credit lines. The deal has received all necessary regulatory approvals. Russian Food Import Ban: Trucks Lose, Shipping Wins

Team Niinivirta, a Finnish family-run transportation firm, turned 60 this year, but its third-generation managers now don't know if the business will see Christmas, because of Russia's new ban on European food imports. The firm based in Kotka, on the Gulf of Finland opposite Saint Petersburg, was using its 12 refrigerated trucks to ship 80 loads a month of Finnish milk products to Russia. But the ban on imports of dairy products, fruit, vegetables, meat, and fish from Europe has brought work for Niinivirta and similar specialist local truckers to a near standstill.

Logistics Revenues Surpass Pre-recession Levels

The latest report from Ti, Global Transport and Logistics Financial Analysis 2013, reveals the winners and losers in the global logistics industry over what has been a tempestuous six year period. Analyzing the financial accounts of 20 of the world’s largest publicly quoted express and logistics companies, the report tracks company performance in terms of revenues, profitability and other financial ratio indicators over the six years. The report reviews mainstream logistics activities on a combined basis as well as across three individual sectors – contract logistics, freight forwarding and freight and trucking. The report also evaluates the results of parcel operations in a separate section.

Stolt-Nielsen Limited to Acquire Storage Terminal

Stolt-Nielsen Limited (Oslo Børs: SNI) announced today that it reached an agreement to acquire a bulk-liquid storage terminal at Dagenham, Port of London, UK, from Norbert Dentressangle SA. The completion of the acquisition is subject to the transfer of licenses and permits, and the receipt of necessary approvals to operate the facility. The transaction is expected to close during the Company's fourth quarter of 2012. Further terms were not disclosed. The terminal occupies 9.4 hectares and consists of 195 tanks with a total capacity of 134,000 cbm and a jetty with a draft of 9.3 meters. In addition to bulk-liquid storage, services include warehousing, drumming and bulk container filling, laboratory services, blending, dilution and product heating.
