Dryships Enters Tanker Segment, Purchases 12 Newbuilds

DryShips Inc. (NASDAQ:DRYS) announced that it has entered into agreements with a first class Korean shipyard to purchase twelve high specification newbuilding tankers at a total purchase price of about $770 million, including over $3 million per vessel in extra items. The company has made initial payments of about $120 million against these newbuilding contracts from cash on hand. The Company intends to finance the remaining capital commitments, which include delivery installments of about 70% of each vessel’s price, with cash on hand and bank debt. Dryships Private Offering of Shares, Ocean Rig UDW

DryShips Inc. (NASDAQ: DRYS) announced that its wholly-owned subsidiary Ocean Rig UDW Inc., intends to offer through a private placement, subject to market and other conditions, approximately $500m worth of shares of Ocean Rig’s common stock. The offering will be made to Norwegian professional investors and eligible counterparties as defined in the Norwegian Securities Trading Regulation 10-2 to 10-4, to non-United States persons in reliance on Regulation S under the Securities Act of 1933, as amended and in a concurrent private placement in the United States only to qualified institutional buyers pursuant to Rule 144A under the Securities Act. The offering is expected to close in December 2010.

Dryships Option to Contruct Four UDW Drillships

DryShips Inc. (NASDAQ: DRYS) a global provider of marine transportation services for drybulk cargoes and off-shore contract drilling oil services, announced today that it has entered into an agreement with a major South Korean shipyard, for the option to construct up to four ultra deepwater drillships. The new orders would be sisterships of the drillships under construction with further upgrades to the specification. Each of the four options can be declared within twelve months of this agreement, with deliveries ranging from 2013 until 2014. The total project cost is estimated to be about $600m per drillship. The agreement includes a non-refundable slot reservation fee of $24.8m per drillship that will be applied to the drillship contract price if the options are exercised.
