KONGSBERG to Acquire Rolls-Royce Commercial Marine

Kongsberg Gruppen ASA (KONGSBERG) today entered into agreement with Rolls-Royce plc to acquire Rolls-Royce Commercial Marine, a world leading technology business within maritime operations. The transaction is structured as an acquisition by KONGSBERG of the marine products, systems and aftermarket services businesses carried out by subsidiaries of Rolls-Royce plc. The transaction does not include Bergen Engines nor Rolls-Royce's Naval Business. The parties have agreed a value for Rolls-Royce Commercial Marine of GBP 500 million (on a cash and debt free basis and with working capital at an agreed level). The final purchase price, will be determined based on Rolls-Royce Commercial Marine's cash, debt and working capital at time of completion of the transaction.

BIMCO, Shipdex Joins for Data Digitalization

Marine Propulsion Market Poised for Growth -Report

The marine propulsion engine market was valued at $9 billion in 2015 and is projected to reach $12 billion by 2022, growing at a CAGR of 4.1 percent from 2016 to 2022, according to a new report published by Allied Market Research. Diesel propulsion system segment is expected to maintain its dominance throughout the forecast period. Asia-Pacific accounted for the highest share of 51 percent in 2015, and is anticipated to maintain this trend. Increase in production and sales of ships globally and rise in international seaborne trade drives the market growth.

Rolls-Royce Rejigs Top Deck

Rolls-Royce announced today that James Guyette, President and Chief Executive Officer of Rolls-Royce North America, has decided to retire after 17 years with the company. He is currently an Executive Director on the Board of Rolls-Royce plc and Chairman of Rolls-Royce North America Holdings Inc. He will step down from the Rolls-Royce plc Board at the Annual General Meeting on 8 May 2015, and from his role at Rolls-Royce North America on 31 May 2015. Chairman, Ian Davis said, "I'd like to pay tribute to the tremendous contribution Jim Guyette has made to Rolls-Royce over many years. He has helped guide the business through a period of significant expansion, especially in the North American market.

Sir Frank Chapman Appointed Golar's Chairman

Golar LNG Limited announced that with effect from September 19, 2014, Sir Frank Joseph Chapman has been appointed to the Board of Directors of the Company and will act as the Company's Chairman. Sir Frank Chapman has worked 40 years in the oil and gas industry culminating in a twelve-year period as Chief Executive of BG Group plc. Under Sir Frank's leadership, BG Group grew from the modest UK-based Exploration and Production interests of the old British Gas into an international integrated oil and gas major. Operating profits grew from some $50 million in 1996 to more than $8 billion in 2012. Sir Frank is currently a non-executive director of Rolls-Royce plc and chairman of their safety and ethics committee.

Rapp Marine Hires Vatnehol as CEO

Helge Vatnehol has been appointed Group CEO of Rapp Marine. Vatnehol comes from the position of Senior Vice President Offshore Deck Machinery in Rolls Royce and takes over on September 1, 2014. “The companies in the winch division of former Rapp Marine Group have been collected within Rapp Marine Group. We are delighted that Helge Vatnehol has accepted the challenge to lead the group,” said Board Chairman of Rapp Marine, Olav Fjell. Vatnehol joined Rolls-Royce in 2000. He is currently Managing Director and board member of its Norwegian branch Rolls-Royce Marine AS.

Rolls Royce Sells Energy Gas Turbine Business To Siemens

Britain's Rolls-Royce Plc said it would sell its energy gas turbine and compressor business to German conglomerate Siemens AG for 785 million pounds($1.33 billion). Rolls, whose energy gas turbine and compressor business has around 2,400 employees, said Siemens would pay a further 200 million pounds for a 25 year licensing agreement granting access to relevant Rolls-Royce aero-derivative technology. "This agreement will give the Energy business greater opportunities as part of a much larger energy company and allows Rolls-Royce to concentrate on the areas of business where we can add most value," Rolls-Royce Chief Executive, John Rishton said in a statement.

Tognum Now under Rolls-Royce Power Systems Name

Effective immediately, the former Tognum AG will now operate under the name of Rolls-Royce Power Systems AG.

Effective immediately, the former Tognum AG will now operate under the name of Rolls-Royce Power Systems AG. Since March 2013, the specialist for large engines, propulsion systems and distributed energy systems has been a wholly-owned subsidiary of Rolls-Royce plc and Daimler AG, each of which has a 50% shareholding in the company via a joint venture. The group of companies with MTU Friedrichshafen GmbH as the core company has been consolidated in the Rolls-Royce Group’s results since the beginning of 2013.

Tognum America changes name to MTU America Inc.

Name change aligns corporate name with primary product brands MTU and MTU Onsite Energy; German holding company Tognum AG renamed Rolls-Royce Power Systems AG. Effective immediately, Tognum America Inc. has changed its name to MTU America Inc. Based in Novi, Mich., the company is responsible for the manufacture, development, sales and service of MTU engines, propulsion and drive systems and MTU Onsite Energy distributed energy systems in North and Latin America. The company also maintains manufacturing facilities in Aiken, S.C. and Mankato, Minn.

Bid for Wärtsilä Corporation Takeover Not Yet on Agenda

The Wärtsilä Board of Directors informs that it notes recent speculation about a potential transaction between Rolls-Royce Plc and Wärtsilä Corporation, and wishes to clarify as follows: "We confirm the approach by Rolls-Royce with a preliminary proposal for a possible offer for the company. In case the company receives such proposals, the Wärtsilä Board has an obligation to evaluate such proposals. However, we confirm that there are no longer ongoing discussions with Rolls-Royce."

Bergen Engines Becomes New Tognum Subsidiary

As of today, July 1, Norwegian engine manufacturer Bergen Engines AS becomes part of the Tognum Group. Following the acquisition of Tognum AG by the joint venture of Rolls-Royce plc. and Daimler AG, the former Rolls-Royce subsidiary Bergen Engines was merged into the Tognum Group. With that Tognum, the propulsion and power solution specialist, adds medium-speed diesel and gas engines with power outputs up to 10 MW to its engine portfolio. Tognum supplies high-speed diesel and gas engines carrying the MTU brand with power ranges of 75 to 10,000kW and 100-2,150kW respectively.

Rolls-Royce to Supply Offshore Cranes for Brazilian PSVs

Rolls-Royce Plc signed a contract with Detroit Chile SA for the delivery of offshore cranes to four platform supply vessels (PSVs) under construction at Detroit Brasil Ltda. shipyard, in Itajaì, Brazil. The delivery from Rolls-Royce will include four ship sets of the award winning dual draglink crane - eight cranes in total. Upon completion, the vessels designed by Guido Perla, will enter service on an eight-year contract with the state owned Brazilian oil company Petrobras. Brazilian Starnav Serviços Marìtimos Ltda, a subsidiary of Detroit Chile SA, will be operating the vessels. German Cruise Upgrades with Rolls-Royce Propulsion

Rolls-Royce Plc won a contract to supply its Promas Lite propulsion system to German based company AIDA Cruises as part of a technical upgrade of their Sphinx series cruise ships. Promas Lite is an integrated propeller and rudder system that increases efficiency and maneuverability, and is designed specifically for retrofitting to existing ships. AIDA Cruises, part of the Carnival Group, will install Promas Lite on their AidaSol cruise ship during dry docking in December this year.

Rolls-Royce has won a contract to convert the tankship 'Bergen Viking' to run on engines powered by natural gas, replacing the current diesel engines. Rolls-Royce Plc has won a contract to convert the merchant ship Bergen Viking to run on engines powered by natural gas, replacing the current diesel engines. The Norwegian ship owner Bergen Tankers AS has chosen gas engines and accompanying systems from Rolls-Royce for this upgrade, to provide a more environmental friendly and fuel efficient ship.

Rolls-Royce, Baleària to Partner in LNG Conversion Project

Rolls-Royce Plc signed a memorandum of understanding with Spanish shipping company Baleària to design gas-powered propulsion systems for three of the company’s high-speed ferries, which currently run on diesel. Baleària, which operates ferry services between the Spanish mainland and the Balearic Islands in the Strait of Gibraltar and The Bahamas Islands, is proposing the conversion of three ferries from diesel to liquefied natural gas (LNG). Rolls-Royce, Drydocks World to Cooperate on LNG Tugs

Rolls-Royce plc has signed a memorandum of understanding with Drydocks World Dubai to provide systems for Liquid Natural Gas (LNG) powered tugs for the Middle East market. The memorandum of understanding was recently signed by Khamis Juma Buamim, Chairman of Drydocks World and Maritime World, and Neil Gilliver, Rolls-Royce, President – Merchant, in Dubai. Rolls-Royce is a leader in the development of LNG technology for the marine industry. The United States Environmental Protection Agency (EPA) last year approved for sale in the U.S. market the latest state-of-the art ECA Tier 3 compliant Rolls-Royce [Bergen C26:33] marine gas engines, which are ideal for tug propulsion.

Tognum Reaches 2012 Profit Target

Specialist for propulsion and power solutions, Tognum AG, has achieved its revenue and profit targets for the full year 2012. Revenues increased slightly last year by 1.4% as expected to €3.015 billion (2011: €2.97 billion). With an adjusted EBIT of €296 million, the adjusted EBIT margin was at 9.8% (2011: 11.6%). In August of last year, Tognum specified its forecast for the full year 2012. The company subsequently announced that it anticipated growth in revenues in the lower single-digit percentage range, with an adjusted EBIT margin of around ten per cent. “Following a successful start to 2012, a cooling global economic environment was noticeable around the middle of the year,” states Joachim Coers, CEO of Tognum AG.

Tognum Makes Large Investments

2012-2014: Investment of more than one billion euros in plant expansion and R&D; Publication of Annual Report 2012 announced. The specialist for propulsion and power solutions Tognum intends to invest more than one billion euros by the end of 2014. This amount exceeds the volume that Tognum specified in a cornerstone paper together with Daimler AG and Rolls-Royce plc two years ago. Approximately €600 million of the total investment will flow into each of research and development and long-term capital expenditure.

Rolls Royce, Northrop Grumman Win UK Navy Contract

Rolls Royce, Northrop Grumman Win UK Navy Contract Aero-engine giant Rolls-Royce Plc and U.S. defense contractor Northrop Grumman have been awarded a $121.7 million contract to supply gas turbine packages for the UK's Royal Navy. The contract, awarded by British defense group BAE Systems Plc, will see the two companies supply 12 WR-21 marine gas turbine packages for the first six ships of a new fleet of Royal Navy defense destroyers.

Alexander Chairs Port of London Authority

The UK Secretary of State for Transport, Lord Adonis, has appointed Helen Alexander, CBE, as Chairman of the Board of the Port of London Authority (PLA), with effect from 1 January 2010. She will succeed Simon Sherrard, who has been PLA Chairman since 2001. Helen Alexander is president of the CBI and has been a non-executive director of the PLA since June this year. She is also Chairman of Incisive Media, and a non-executive director of Rolls Royce plc and Centrica plc.
