Fortis Earns $47 mi in the 2Q 2014

Fortis Inc. achieved second quarter net earnings attributable to common equity shareholders of $47 million, or $0.22 per common share, compared to $54 million, or $0.28 per common share, for the second quarter of 2013. For the first half of 2014, net earnings attributable to common equity shareholders were $190 million, or $0.89 per common share, compared to $205 million, or $1.06 per common share, for the first half of 2013. Earnings for the second quarter were impacted by a number of significant items. Interest expense of $13 million after tax, or $0.06 per common share, associated with convertible debentures issued to finance a portion of the pending acquisition of UNS Energy Corporation ("UNS Energy") was recognized in the second quarter of 2014.

Stolt-Nielsen Purchased 5,400 of its Common Shares

Stolt-Nielsen S.A. announces that Stolt-Nielsen Transportation Group Ltd. (SNTG), a 100% owned subsidiary of SNSA, purchased today 5,400 of SNSA Common Shares on the Oslo Børs at an average price of NOK 190.57 per share (approximately $29.69 at the current exchange rate). The shares were purchased in accordance with the repurchase program announced on August 25, 2005, authorizing Company to purchase up to $200 million worth of its Common Shares or related American Depositary Shares. Including today's purchases, the Company has purchased Common Shares totaling approximately $179.2 million under the $200 million repurchase program announced on August 25, 2005. All Common Shares purchased by SNTG are classified as non-voting shares held in Treasury and issued but not outstanding.

Stolt-Nielsen Purchased 94,400 of its Common Shares

Stolt-Nielsen S.A. announces that Stolt-Nielsen Transportation Group Ltd. (SNTG), a 100% owned subsidiary of SNSA, purchased today 94,400 of SNSA Common Shares on the Oslo Børs at an average price of NOK 187.49 per share (approximately $29.21 at the current exchange rate). The shares were purchased in accordance with the repurchase program announced on August 25, 2005, authorizing Company to purchase up to $200 million worth of its Common Shares or related American Depositary Shares. Including today's purchases, the Company has purchased Common Shares totaling approximately $179.0 million under the $200 million repurchase program announced on August 25, 2005.

Sea Containers Declares Cash Dividends on Class A and Class B Common Shares

The Board of Directors of Sea Containers Ltd. today declared quarterly cash dividends on the Company's Class A and Class B common shares. The dividend will be $0.025 per share on the Class A common shares and $0.0225 per share on the Class B common shares. Class B common shares are convertible at any time into Class A common shares. The dividends will be payable November 20, 2003 to shareholders of record November 5, 2003. The Class A and B common shares of Sea Containers Ltd. are listed on the New York Stock Exchange under the symbols SCRA and SCRB, respectively.

Sea Containers Declares Cash Dividends

The Board of Directors of Sea Containers Ltd. today declared quarterly cash dividends on the Company's Class A and Class B common shares. The dividend will be US$0.025 per share on the Class A common shares and US$0.0225 per share on the Class B common shares. Class B common shares are convertible at any time into Class A common shares. The dividends will be payable February 20, 2004 to shareholders of record February 5, 2004. Sea Containers Reports 3Q Results

Sea Containers Ltd. passenger and freight transport operator, marine container lessor and leisure industry investor, today announced its results for the quarter and nine months ended September 30, 2002. For the quarter, net income was $17.9 million ($0.84 per common share diluted) on revenue of $547 million, compared with net income of $6.6 million ($0.35 per common share diluted) on revenue of $356 million in the year earlier period. Net income was up 173 percent, diluted net earnings per common share were up 140% and revenue was up 54 percent. Greek Investment Company Closes Assetplus Purchase

Nautilus Marine Acquisition Corp. announce closing the purchase of Cypriot vessel owner Assetplus Ltd., & expiry of its tender offer. Greece's Nautilus Marine Acquistion describes itself as a newly-organized 'blank check' company (meaning that it is in a developmental stage that either doesn't have an established business plan or has a business plan that revolves around a merger or acquisition with another firm). The company they have acquired, Assetplus, owns two platform supply vessels (PSVs) and two oil spill response vessels (OSRVs) and is negotiating acquisition of another two vessels. The company also has six four-year time charter contracts secured from Brazil's oil and gas company Petrobras.

Extended NAT Share Offering Earmarked for Nordic American Offshore

Nordic American Tankers Limited inform that, in connection with its previous public offering of 8,125,000 common shares at a public offering price of $8.00 per share, the underwriters have exercised a portion of the option granted to them by the Company and will purchase an additional 1,018,750 common shares on the same terms. As previously announced, the NAT intends to use the net proceeds of this offering primarily to finance its investment in Nordic American Offshore Ltd. Stolt Offshore New Shares Begin Trading in Oslo

Stolt Offshore S.A. announced that 62.5 million Common Shares that previously have been issued will begin trading on March 12, 2004 on the Oslo Bors. These represent the 45.5 million Common Shares issued in the recent private placement and the 17.0 million Common Shares issued in connection with the conversion of Class B Shares held by Stolt-Nielsen Transportation Group Ltd, a subsidiary of Stolt Nielsen S.A. The 45.5 million Common Shares issued in the private placement are subject to certain transfer restrictions and are therefore registered on a separate ISIN. These shares will trade on a separate ticker code, STON, until March 24, 2004 from which time all Common Shares will trade on the STO ticker code.

Stolt-Nielsen Buys One Million of Its Common Shares

Stolt-Nielsen Limited announced today that on November 18, 2014, it agreed to purchase one million of its common shares through a private tender of shares at a price of NOK 110 per share. The shares are purchased in accordance with the buyback program announced on November 18, 2014. Upon completion of the transaction, Stolt-Nielsen Limited will hold 7,026,994 of its common shares, representing 10.96% of the total number of issued common shares in the company.  

Tsakos Energy Announces Pricing Offering

Tsakos Energy Navigation Ltd. announced the pricing of its offering of 7,623,328 common shares, including 896,861 common shares to be purchased by entities affiliated with the Tsakos family, at an initial reoffer price of $11.30 per share. TEN has granted the underwriter a 30-day option to purchase an additional 1,008,968 common shares to cover overallotments, if any. TEN will use the net proceeds from the public offering for the expansion of its fleet and for general corporate purposes.  

Detroit Diesel Merges With DaimlerChrysler

Detroit Diesel Corp. has signed a definitive merger agreement with a subsidiary of DaimlerChrysler AG. The agreement calls for DaimlerChrysler, a shareholder of DDC since 1993 that currently owns 21.3 percent of the outstanding common shares of DDC, will commence a cash tender offer for the remaining 78.7 percent of DDC at a price of $23 per common share - for a total transaction value of $423 million. Penske Corp., which owns 48.6 percent of the outstanding common shares of DDC, has committed to tender its shares to DaimlerChrysler.

Stolt-Nielsen Purchases 200,000 of Common Shares

Stolt-Nielsen announced that Stolt-Nielsen Transportation Group (SNTG), a 100% owned subsidiary of SNSA, purchased today 200,000 of SNSA Common Shares on the Oslo Stock Exchange at an average price of NOK 219.16 per share (approximately $32.76 at the current exchange rate). The shares were purchased in accordance with the repurchase program announced on August 25, 2005, authorizing Company to purchase up to $200 million worth of its Common Shares or related American Depositary Shares.

NAT Announces Public Offering

Nordic American Tankers Limited (the "Company") today announced an underwritten public offering of 11,000,000 common shares pursuant to the Company's effective shelf registration statement. At the Company's request, the underwriters have reserved for sale an aggregate of 534,000 common shares to all the members of the Company's board of directors, certain members of the Company's management and all NAT advisors. The 534,000 common shares include approximately 100,000 shares to be purchased by the Company's Chairman and Chief Executive Officer and 400,000 shares to be purchased by the Company's Vice Chairman. Ship Finance International 4Q Dividend

Ship Finance International Limited (NYSE: SFL) refers to the announcement of the fourth quarter 2008 dividend payable in cash or, at the shareholders request, in newly issued common shares on or about April 17, 2009. Shareholders beneficially owning approximately 55% of our outstanding shares have elected to receive 0.0528 common shares for each share held, and approximately 2.1 million new common shares will be issued as a result of such elections. The remaining shareholders will receive a cash dividend payment of $0.30 per share. Nordic American Tankers Limited announced today that, in connection with its previously announced public offering of 12,000,000 common shares at a public offering price of $8.62 per share, the underwriters exercised in full the option granted to them by the company and purchased an additional 1,800,000 common shares on the same terms on which the 12,000,000 common shares were sold to the underwriters. The company also announced that the closing of the follow-on offering and the closing of the option to purchase additional shares took place simultaneously today.

Seaspan to Raise $250m to Invest

Seaspan Corporation announced that it entered into a letter of intent (LoI) pursuant to which Fairfax Financial Holdings Limited, through certain subsidiaries, will make an investment of US$250 million in Seaspan in exchange for the issuance by Seaspan of 5.5% interest bearing unsecured debentures and Class A Common Share purchase warrants. Seaspan intends to use the proceeds from this US$250 million investment to fund future growth initiatives, debt repayment and for general corporate purposes. Fairfax has agreed to subscribe on a private placement basis, and subject to certain conditions, for Debentures in a maximum aggregate amount of US$250 million.

Ocean Rig UDW Announces Pricing of Public Offering of Shares

Nicosia, Cyprus – Ocean Rig UDW Inc., a global provider of offshore deepwater drilling services, today announced that DryShips Inc.’s previously announced public offering of Ocean Rig common shares has been upsized to 10,000,000 common shares and priced at a price to the public of $16.25 per share. All net proceeds from the sale of the common shares will be received by DryShips as the selling shareholder. The offering is expected to close on April 17, 2012. DryShips has also granted the underwriters a 30-day option to purchase up to 1,500,000 additional common shares. Scorpio Tankers Inc. says it has updated its stock buyback program; lists its latest new vessel deliveries, and gives the release date of its second quarter 2014 earnings report. The company has purchased 6,327,861 of its common shares in the open market at an average price of $9.74 per share since July 1, 2014 under its $150 Million Stock Buyback Plan that was announced on June 30, 2014 and has $88.1 million remaining under the Plan. During 2014, the Company has acquired 29.0 million of its common shares that are being held as treasury shares at an average price of $9.26 per share.

North Atlantic Drilling Set for Initial NYSE Public Offering

North Atlantic Drilling Limited (NADL), a leading offshore harsh environment drilling company in which Seadrill Limited currently holds a 74 percent ownership interest, to file for independent listing on the New York Stock Exchange (NYSE). The company states that it has filed its first amended registration statements with the United States Securities and Exchange Commission (SEC) in connection with its initial public offering and concurrent offer to exchange previously issued unregistered common shares, other than the common shares owned by affiliates of NADL, for common shares that have been registered under the Securities Act of 1933, as amended. Morgan Stanley will act as the Global Coordinator and Lead Bookrunner for the initial public offering.

Scorpio Bulkers Inc. say it has increased the size of its public offering from the initially announced 15,500,000 common shares to 31,300,000 common shares for gross proceeds of $305,175,000. The Company has granted the underwriters a 30-day option to purchase up to 4,695,000 additional common shares, and they say they plan to use all of the net proceeds of this offering to fund newbuilding vessel capital expenditures.
