Harvey Gulf Announces New BoD

Halliburton & Baker Hughes Merger

Halliburton Company and Baker Hughes Incorporated  today announced a definitive agreement under which Halliburton will acquire all the outstanding shares of Baker Hughes in a stock and cash transaction. The transaction is valued at $78.62 per Baker Hughes share, representing an equity value of $34.6 billion and enterprise value of $38.0 billion, based on Halliburton’s closing price on November 12, 2014, the day prior to public confirmation by Baker Hughes that it was in talks with Halliburton regarding a transaction. Upon the completion of the transaction, Baker Hughes stockholders will own approximately 36 percent of the combined company. The agreement has been unanimously approved by both companies’ Boards of Directors.

Halliburton Seeks to Replace Baker Hughes Board

Baker Hughes Incorporated today announced receipt of notice from Halliburton Company that it intends to nominate candidates to replace the entire board of directors of Baker Hughes at its Apr. 2015 annual meeting. The nominations followed discussions between the parties regarding a potential business combination transaction, and Halliburton's refusal to improve its first and only value proposal. Baker Hughes considers the notice to be an attempt by Halliburton to pressure the Baker Hughes board into accepting a transaction with Halliburton on Halliburton's terms. Baker Hughes Names Kimberly Ross as CFO

Baker Hughes Incorporated has today announced appointment of Kimberly A. Ross, as Senior Vice President and Chief Financial Officer (CFO) effective October 22, 2014. Ross currently serves as Executive Vice President and CFO of Avon Products, Inc. She served as Executive Vice President and CFO of Royal Ahold N.V. from 2007 to 2011 and held various other finance positions at Royal Ahold from 2001 to 2007. Ross earned a Bachelor of Arts degree in accounting from the University of South Florida and became a certified public accountant after graduation. "I am pleased to welcome Kimberly to the Company," said Martin Craighead, Baker Hughes Chairman and Chief Executive Officer. "She is an accomplished executive with more than 22 years of outstanding global experience in finance.

Rig Counts up from One Year Ago

Baker Hughes Incorporated (BHI) has announced  that the international rig count for January 2014 was 1,325, down 10 from the 1,335 counted in December 2013, and up 46 from the 1,279 counted in January 2013. The international offshore rig count for January 2014 was 302, down four from the 306 counted in December 2013, and down five from the 307 counted in January 2013. The average U.S. rig count for January 2014 was 1,769, down two from the 1,771 counted in December 2013, and up 12 from the 1,757 counted in January 2013. The average Canadian rig count for January 2014 was 504, up 132 from the 372 counted in December 2013, and up one from the 503 counted in January 2013.

Latest Offshore Rig Count

Baker Hughes Incorporated announce the international offshore rig count for January 2013 was 307, up 8 from the 299 counted in December 2012. The count is unchanged from the 307 counted in January 2012. The average U.S. offshore rig count for January 2013 was 53, up two from the 51 that were counted in December 2012 and up 10 from the 43 counted in December 2012. The Baker Hughes Rotary Rig Counts are counts of the number of drilling rigs actively exploring for or developing oil or natural gas in the United States, Canada and international markets. Baker Hughes has issued the rotary rig counts as a service to the petroleum industry since 1944, when Hughes Tool Company began weekly counts of US and Canadian drilling activity.

Baker Hughes Announces Second Quarter Results

Baker Hughes Incorporated announced that net income for the second quarter 2008 was $379.3m or $1.23 per diluted share compared to $349.6 million or $1.09 per diluted share for the second quarter 2007 and $395.0 million or $1.27 per diluted share for the first quarter 2008. Net income for the second quarter of 2008 includes a net charge of $62.0 million ($40.3 million after-tax or $0.13 per diluted share), relating to the settlement of litigation with ReedHycalog announced May 22, 2008. Net income for the first quarter 2008 includes a gain of $28.2 million ($18.4 million after-tax or $0.06 per diluted share) from the sale of the Completion and Production segment's Surface Safety Systems ("SSS") product line.

Baker Hughes Profits Surge 456%

Driven by decade-high oil prices, industry leader Baker Hughes Incorporated reported operating profit after tax from continuing operations for the third quarter of 2000, excluding non-operational items, was $70.6 million, up 456% compared with $12.7 million for the third quarter of 1999, and up 72% compared with $41 million for the second quarter of 2000. Net income for the third quarter of 2000 was $66.7 million compared to $13.2 million for the third quarter of 1999. Results for the third quarter of 2000 include the impact of losses, net of tax, totaling $3.9 million related to the company's holdings of Varco International, Inc. stock and the sale of the Norward product line of Baker Atlas. Baker Hughes Incorporated announced that the international rig count for October 2000 was 727, up 13 from the 714 counted in September 2000 and up 162 from the 565 counted in October 1999. The international offshore rig count for October 2000 was 219, up 6 from the 213 counted in September 2000 and up 62 from the 157 counted in October 1999. Baker Hughes Incorporated announced that the international rig count for July 2006 was 921, up 15 from the 906 counted in June 2006, and up 10 from the 911 counted in July 2005. The international offshore rig count for July 2006 was 269, up for from the 265 counted in June 2006 and down nine from the 278 counted in July 2005.
