Nera ASA has been informed that Thrane & Thrane will not close the agreement relating to the sale of the Nera SatCom AS. Based on this, Nera has considered taking legal action. Nera CEO Bjorn Ove Skjeie said: “Nera’s percetion is that this is regarded as a clear breach of agreement. Skjeie regrets that the planned merger will not be carried through, as this would have been a good industrial solution. Nera SatCom will now continue as a wholly owned Nera Group company.

Due diligence completed for the integration of Thrane & Thrane A/S and Nera ASA satellite activities and revised forecast for the current financial yearOn Monday, August 20, 2001 Thrane & Thrane A/S announced that it had signed an agreement with Nera ASA to acquire the shares in Nera’s wholly-owned subsidiaries Nera SatCom AS and Nera WBA Satellite AS. Since that announcement, Thrane & Thrane and Nera have worked on completing the integration of the two companies’ satellite activities. The companies’ efforts focused on conducting the due diligence process, which has now been completed to the satisfaction of both parties.After completing the due diligence process, the parties have agreed to change the contents of the agreement, and Thrane & Thrane and Nera therefore signed an agreement.

Norwegian satellite equipment provider Nera SatCom AS, together with Inmarsat, introduced the new Nera F33 product concept to the maritime market. The Nera F33 will fill the gap between the existing Inmarsat Mini-M service /Nera WorldPhone and the global Inmarsat Fleet 77 service / Nera F77. The new Nera F33 is based on the Inmarsat Fleet F33 service concept, providing the light marine market with improved data communications from equipment suitable for the demands of today’s commercial and leisure fleet. The launch of the service is due to early 2003. Satellite communications are increasingly being used by marine vessels in order to access online connectivity with the onshore world.

Xantic has become the first company to announce the availability of the new Fleet 33 and Fleet 55 services. Last Friday a contract was signed with Nera for upgrades of both Xantic Land Earth StationsLES’s in Holland (Burum) and Australia (Perth). The services will be available early April and will be provided in the 4 Ocean regions. At the same time Xantic’s Fleet 77 service will be enhanced by the addition of a 9.6k fax channel. Fleet 33 / Fleet 55 are the new Inmarsat services specifically targeted at smaller vessels who have data requirements. Prime segments include yachts, fishing, coast guards and coastal commercial coastal vessels operating within the Inmarsat spot beams.

Danish satellite communication equipment maker Thrane & Thrane said on Monday it bought the satellite units of Norwegian Nera for around half a billion Danish crowns ($61.5 million), sending its shares to a four-month high. For the two units Nera SatCom and Nera WBA Satellite, Thrane & Thrane will pay 235 million crowns in cash and around three million new shares corresponding to around 40 percent of Thrane's total capital after a share capital increase. "The intention is to create a leading manufacturer within satellite ground equipment with the strength to participate in both the mobile and the broadband market segments," Thrane said in a statement.
