MOL Chemical Tankers to Acquire Fairfield Chemical Carriers

MOL Chemical Tankers has reached a deal to acquire the business of Fairfield-Maxwells' Fairfield Chemical Carriers in an all-cash transaction.Under the agreement, MOL Chemical Tankers would obtain 100% of the shares in Fairfield Chemical Carriers for about $400 million, subject to change depending on the price adjustment under the share purchase agreement.Fairfield Chemical Carriers’ fleet of 36 chemical tankers would dovetail with MOL Chemical Tankers’ fleet of 85 chemical tankers.

Stolt-Nielsen has decided to step down from his role as Chief Executive Officer of chemical tanker operator Stolt-Nielsen Limited.The company said Wednesday he'd continue as CEO and as a Director on the Board until the appointment process for a successor has been completed. Niels G. Stolt-Nielsen has served as Chief Executive Officer of Stolt-Nielsen Limited since November 2000 and has been a Director since 1996."The intention is that once a suitable replacement is found, Mr. Niels G.

The meetings are considered “urgent” and the target is to reduce carbon emissions in half by 2050. Prior to those “targets” shipping dealt with regulations to address SOx and NOx reductions. Most of which have resulted in limited success due to infrastructure problems and a consideration as a temporary fix.The technical world has responded with low sulfur fuels, LNG, and methanol to work towards the target.

Essberger Tankers Sign Deal with GAC

Europe’s chemical tanker operator Essberger Tankers has entrusted its ship agency requirements to Gulf Agency Company (GAC) companies in Norway, Sweden, Denmark and Finland.Under the agreement, GAC will handle an estimated 600-800 port calls a year for Essberger Tankers’ fleet of vessels carrying a wide range of high-grade chemicals.The deal comes after more than 20 years of successfully managing Essberger’s port calls in Finland. The shipping and logistics service provider’s ability to deliver the same high level of support from its expanding network of offices in Sweden, Denmark and Norway was a key factor in the deal being sealed.The…

Team Tankers Buys Two Tanker Carriers

Team Tankers International announced that it has entered into share purchase agreements to acquire all outstanding shares in each of Laurin Shipping and Anglo-Atlantic Steamship Company. In combination with associated ship purchases, the total estimated enterprise value of the series of transactions is approximately $206 million. Upon completion of the transactions, Team Tankers will grow its fleet from 37 to 52 vessels. With the acquisition of Laurin Shipping, trading under the Laurin Maritime brand, Team Tankers adds a leading medium range tanker (MR) operator with commercial and technical expertise to the Company's robust chemical tanker platform.

Crystal Nordic Sold to Essberger Tankers

Nordic Tankers and Embarcadero Maritime (a joint venture between Borealis Maritime and KKR) have signed and closed an agreement to sell the jointly held company Crystal Nordic to John T. Essberger in Hamburg, a leading owner and operator of chemical tankers in Europe. Crystal Nordic was established following the combination of Nordic Tankers’ inter-European stainless steel chemical tanker business with Crystal Pool in 2015. The parties have agreed not to disclose any financial information. Crystal Nordic is a Danish headquartered chemical tanker operator, owning 14 ships between 4,000 and 12,000 DWT, serving customers primarily in Northern Europe.

Security Deposit Interest Ring-fenced Under Tonnage Tax

International accountant and shipping adviser Moore Stephens has welcomed a decision by the U.K. First Tax Tribunal that interest received on security deposits relating to loans taken out to buy ships within tonnage tax is not taxable. HMRC had argued that the interest income was outside tonnage tax as it related to the purchase of ships by London-based bulk and chemical tanker operator Euroceanica (U.K.) Limited, which was not a trading activity for the purposes of the tonnage tax legislation. It had further maintained that the giving of a security deposit was not a ‘necessary and integral’ part of the activity of operating ships as it was not a mandatory or “necessary” part of ship financing.

Owners Seek Prompt Deliveries

Sembcorp Marine, which is set to announce third quarter earnings, is best known as a ship repairer, conversion specialist and builder of oil rigs. This week, however, the company announced that it has won a contract for two more 2,600 teu container ships from German owner Reederei F Laeisz at a contract price of US$42m each. The ships, which will be built at the group’s Jurong shipyard, are costing 33% more than similar units ordered by Taiwan’s Wan Hai Lines last year. However, the German owner may yet demonstrate his astute timing, for the vessels are due for delivery in Mar and Sept 2006, ahead of the delivery dates available at most Far East mainstream shipbuilders.

Berlian Acquires Chembulk Tankers

Publicly listed shipping company PT Berlian Laju Tanker (BLT) has acquired Marshall Islands-based chemical tanker company Chembulk Tankers LLC, through its subsidiary Asean Maritime Corporation. Director of BLT, Kevin Wong, said in a statement to the Jakarta Stock Exchange that the cost of the acquisition was $850m. He said the purchase made BLT the third largest chemical tanker operator in the world with 54 ships with a total capacity of 820,600 deadweight tons (DWT). Chembulk now operates 16 double-hull ships capable of carrying a total of 397,200 DWT. It plans to add three more ships by 2009, which will increase its total capacity to 468,200 DWT. Odfjell Takes 50% Of Brazilian Shipper

Norwegian chemical tanker operator Odfjell last week acquired a 50 percent stake in Brazilian shipping company Flumar. Odfjell said the purchase would mean an investment of $10 million and would result in a strengthening of both companies' positions in the region. "Brazil has a considerable growth potential in production and handling of chemicals," Odfjell said. Flumar operates three chemical tankers and vessels for liquefied petroleum gases and sails mainly along the Brazilian coast. Odfjell operates more than 60 vessels in a global network.
