Petrobras Sets up Special Committee

The Board of Directors of Petrobras approved at a meeting held today, the creation of a special committee to act as interlocutor ("Reporting line") of independent internal investigations conducted by the Trench, Rossi e Watanabe and Gibson, Dunn & Crutcher offices .

This Committee shall act independently and will report directly to the Board. The powers and responsibilities of the Special Committee shall include (i) approve the research plan; (Ii) receive and analyze the information submitted by the offices of lawyers; (Iii) ensure that research maintain independence by ensuring that this is not impeded or obstructed; (Iv) review, approve and feasibility of the implementation of the recommendations made ​​by offices; (V) to communicate and / or authorize offices to communicate with competent authorities, including regulation in regard to the state of research, its findings and actions taken by the Company; (Vi) develop a reference to that found in the investigation final report and on the Committee's recommendations regarding internal policies and procedures relating to the investigation.

The Special Committee shall be composed of three members: two external to the Company and independent people, a Brazilian and other foreign, with remarkable technical knowledge; and the Director of Governance, Risk and Compliance.

Brazil is the retired member of the Supreme Court Minister, Dr. Ellen Gracie and foreign member Dr. Andreas Pohlmann will, Chief Compliance Officer of Siemens AG between 2007 and 2010.

To expedite investigations, the Special Committee will start its activities with the participation of two independent members. The Director of Governance, Risk and Compliance form part of the Special Committee regarding the appointment is made.

Dr. Ellen Gracie is a retired minister of the Supreme Court, who presided over the biennium 2006-2008, together with the National Council of Justice and which, among other duties, is responsible for monitoring the administrative and financial performance Judiciary, the fulfillment of functional duties of judges, ensure observance of the principles of public administration and the legality of administrative acts performed by members of the judiciary. Retired Minister has recognized inside and outside Brazil for being a great lawyer with extensive experience in the analysis of complex legal issues.

Dr. Andreas Pohlmann graduated in law from the Goethe University in Frankfurt and has doctorate at Tuebingen University. Between 2007 and 2010 was Chief Compliance Officer of Siemens AG and subsequently, until November 2011, member of the Board of Ferrostaal AG, where he was responsible for Compliance and Administration. In addition to their participation in Pohlmann & Company, was Chief Compliance Officer and member of the Executive Committee of SNC-Lavalin Group Inc. in Montreal, Canada, 2013-2014.
