Drew Marine Completes Acquisition of Chemring Marine

Affiliates of Drew Marine (Drew Marine) completed of the previously announced acquisition of Chemring Group PLC’s (Chemring) maritime interests for cash consideration of £32 million. Under Drew Marine's ownership, the acquired business will be named Drew Marine Signal and Safety (DMSS). DMSS is the world's leading supplier of marine distress signals including handflares, manoverboard buoys, line-throwers and other required rescue products under established brands including Pains Wessex, Comet, Aurora and Oroquieta. The Company's products are produced in Bremerhaven, Germany; Pamplona, Spain; and Lara, Australia. The business will continue to be headquartered in Hampshire, UK.

Affiliates of Drew Marine (“Drew Marine”) have reached a definitive agreement with Chemring Group PLC (“Chemring”) to acquire Chemring’s maritime interests (“Chemring Marine” or the “Company”) for a cash consideration of £32 million, subject to standard closing adjustments. Under Drew Marine’s ownership, the business will be named Drew Marine Signal and Safety (“DMSS”). Chemring Marine is the world’s leading supplier of marine distress signals including handflares, manoverboard buoys, line-throwers and other required rescue products under established brands including Pains Wessex, Comet, Aurora and Oroquieta. The Company’s products are produced in Bremerhaven, Germany; Pamplona, Spain; and Lara, Australia. The business will continue to be headquartered in Hampshire, UK.

Babson Capital provides US$12-million In subordinated debt to support Drew Marine acquisition of Chemring Marine Group’s Rescue Division. Babson Capital Management LLC, a global investment manager with $149 billion in assets under management and operations on four continents, announce it provided $12 million in mezzanine debt to support Drew Marine LLC’s acquisition of the Chemring Marine Group’s Rescue Division. Under Drew Marine’s ownership, Chemring’s Rescue Division will be renamed Drew Marine Signal and Safety. Drew Marine Signal and Safety is the world’s leading supplier of marine distress signals to the commercial shipping and leisure markets. Finnegan Joins Drew Marine As Manager

The Drew Marine Division of Ashland Specialty Chemical Company has elected John C. "Jack" Finnegan as manager of new business development. Drew Marine announced it is merging with ACR Electronics, Inc., a global provider of safety products and solutions to the aviation, marine, military and commercial markets worldwide. ACR’s core products include life-saving devices such as rescue beacons, safety lights, and other safety equipment which have been sold for decades under the ACR and Artex brands. Drew Marine Division To Distribute Draeger Safety's Personal Air Fitration Systems

Drew Marine and Draeger Safety have agreed to name Drew Marine the distributor for Draeger's complete line of self-contained breathing apparatus and gas detection equipment throughout the United States, Canada and Mexico. Per the agreement, Drew Marine will now offer its marine industry customers and marine fire and safety inspection providers the full range of Draeger products. Draeger's principal product lines being offered by Drew Marine include: electronic gas detection measuring and monitoring instruments; self-contained breathing apparatus; Draeger Tubes and Draeger CMS spot measurement gas and vapor sampling.

Ship operators will gain the benefits of leading technology from the world's largest manufacturer of welding and cutting equipment and consumables as the result of a new alliance between Ashland Specialty Chemical Company's Drew Marine Division and ESAB Welding & Cutting Products. According to the alliance agreement, Drew Marine will supplying ESAB stick and covered electrodes in bulk for shipboard maintenance, repair and steel renewal projects. Drew Marine Acquires NAL Research Corporation

Drew Marine, a provider of technical solutions and services for the maritime, defense and aviation industries, announced its acquisition of NAL Research Corporation, a designer and manufacturer of Iridium tracking and communications equipment. The financial terms of the acquisition were not released. NAL Research will team up with ACR Electronics, Inc., a brand of Drew Marine known as a leader in safety and survival technologies. The acquisition allows Drew Marine to expand its footprint into the Iridium tracking and communication product offering. NAL brings an experienced research and development team that specializes in Iridium satellite modems and tracking terminals from design through integration for the defense, research and commercial sectors.

Ashland to Sell its Marine Services Business

On June 22 Ashland Inc. (NYSE:ASH) announced it has signed a definitive agreement to sell its global marine services business, known for many years as Drew Marine, to J. F. Lehman & Co. in a transaction valued at approximately $120m before tax. Ashland’s after-tax proceeds will be used to reduce debt. “This transaction will be a win for all parties,” said James J. O’Brien, Ashland chairman and chief executive officer. “For Ashland, this reflects our strategy to strengthen our core specialty chemical businesses while reducing our investment in non-core or non-strategic businesses. For J. F. Lehman & Co., the acquisition of Drew Marine represents an opportunity to acquire a leading global brand with strong market positions and prospects for growth.

‘Choice Alliance’ Formed to Serve BWT Market

A strategic alliance between Choice Ballast Solutions and Drew Marine has been formed to provide vertically integrated capabilities within the ballast water treatment (BWT) market. The two firms have joined to form “Choice Alliance” which will provide ship owners with -BWT compliance planning, integration engineering, project management, fabrication, installation, compliance assessment and service. Choice Alliance will also develop additional resources as sub-contractors to support necessary activities in the BWT industry. Choice Ballast Solutions specializes in the application, installation and project management of all types of ballast water treatment systems for both new-build and retrofit vessels.

Drew Marine USA, Inc. announced the appointment of Walter Sobon as Senior Vice President and Chief Financial Officer. Sobon will be responsible for all finance and treasury functions, information systems and financial strategic planning. Sobon joins Drew Marine from Constar International Inc., an $800m publicly traded manufacturer of plastic containers, where he was CFO. Prior to Constar, Sobon was CFO for VWR International, a $2.8b provider of chemicals, equipment and services.

Ashland Drew Marine Releases New Catalog

Ashland Specialty Chemical Company's Drew Marine announced the release of the 6th edition of its Welding and Refrigeration Products catalog. The 41-page illustrated English-language catalog contains nearly 600 specialty products. Products comprise gas and arc welding and cutting equipment, including new AMERARCTM MSTW and GTSW arc welding machines, brazing consumables, and plasma cutting. The catalog also features innovative developments in Central Gas Installation Systems, such as the new design of MANY-FLOW gas distribution.

Ashland's Drew Marine announced today the release of the new MANY-FLOW(1) CGI (Central Gas Installation) Systems for onboard welding requirements. The MANY-FLOW design upgrades the traditional pipe-and-fittings construction of older oxygen and acetylene distribution systems. Easy to install, the unique, unit-body, three-gas control accommodates two or three cylinder inputs and provides a simple way to customize the CGI system of any ship. The MANY-FLOW system features a forged block assembly, is less prone to leaks, and offers increased safety, economy, and convenience of operation. "MANY-FLOW system raises the bar on safety, economy and ease-of-use in ship welding operations," says Rich Mansmann, marketing manager for welding and refrigeration products at Drew Marine.
